Collin County Republican Assembly Bylaws & Constitution

Article I- Name and Affiliation.

Section 1-The name of the group is the Collin County Republican Assembly

and it is a Chartered Unit of the Texas Republican Assembly and the National

Federation of Republican Assemblies.

Article II. Mission Statement.

Section 1-The Collin County Republican Assembly is affiliated within the Texas Republican Assembly and the National Federation of Republican Assemblies and is an organization to promote Conservative Values and to help the Republican Party within Collin County and educate voters on Pro-Family, Pro-Taxpayer, and Pro-American issues and views.

Article III- Objectives, Precedence, & Jurisdiction.

Section 1-The Objectives of the Collin County Republican Assembly Are:

A. To campaign for the election of Conservative Republicans

for public office.

B. To maintain an effective Conservative Republican Campaign

Organization in the area.

C. To recruit and endorse Conservative Republican Candidates

in the area.

D. To promote patriotism and loyalty to the United States

and the State of Texas.

E. To educate voters and to promote traditional values.

F. To protect and promote the Collin County taxpayers and families.

Section 2-If there are any issues of conflict between the Collin County Republican Assembly and the Texas Republican Assembly the TXRA takes precedence.

Section 3-The jurisdiction of the Collin County Republican Assembly is Collin County, Texas.

Article IV- Membership and Dues.

Section 1-Members of the Collin County Republican Assembly must have paid their appropriate dues in a timely fashion.

Section 2-The membership records shall be kept by the Secretary.

Section 3- A member will be suspended for not providing membership dues within ten days.

Section 4-Seven dollars out of each member dues will be appropriated to the Texas Republican Assembly.

Section 5-A member may lose their membership if the Board decides to terminate their membership by a majority vote.

Section 6- The Board of Directors may award honorary or lifetime membership to anyone with a two-thirds vote.

Section 7-Indivdual membership dues are set at $30 per individual, $50 per couple.

Section 8-If someone wants to be a Club Sponsor the cost starts at $100 per year and must be a member in good standing. They will be recognized as sponsors and given special privileges at each club event and meeting.

Article V- Officers and Board of Directors.

Section 1-The elected officers of the Collin County Republican Assembly is: the President, Vice President, Treasurer, Secretary, Appointed Members, and the Immediate Past President.

Section 2-To be eligible for election to the board or appointment a member must be a registered voter and must be a member of good standing for thirty days.

Section 3- The elected and appointed officers shall compose the Board of Directors. Each board member will have one vote and no proxy voting will be permitted.

Section 4- The President shall preside at all meetings and events. He shall serve as the Chief Executive of the group, appoint all committee chairs and any other club officers if needed, and have general supervision of overall club events and activities. He will act as the Chair of the group at all regional and State Texas Republican Assembly events and will appoint all delegates at those events with the consent of the Board of Directors.

Section 5-The Vice President shall preside at all meetings and events in the absence of the President or given tasks or projects assigned by the President and the Board of Directors.

Section 6-The Treasurer is the organizational Chief Financial Officer. The Treasurer shall collect and record all dues and deposit all contributions. Whenever a new treasurer is elected the President will direct the Board of Directors to have a Financial Review Committee to review past financial records.

Section 7-The Secretary shall record and maintain all records and act as corresponding secretary of the group.

Section 8-Any board member may be removed by a two-thirds vote of the Board of Directors.

Section 9-Vacancies on the Board of Directors may be filled by the President with the approval of the board.

Section 10-Board meetings may be called by the President or by a majority of the Board Of Directors.

Section 11- All appointed officers shall be considered a member of The Board of Directors with voting rights once they are appointed by the President and confirmed by the Board of Directors.

Section 12- The term of office for all elected and appointed offices shall be one calendar year starting in September and ending in September of the calendar year.

Section 13-All elected club officers will be elected at the first general membership meeting of the year except appointed officers who will be appointed by the President and confirmed by the Board of Directors.

Article VI- Meetings.

Section 1-There are two types of meetings, General Meetings and Board Meetings. General Meetings are meetings called for the General Membership and Board Meetings are for officers. Both meetings are open to the General Membership to attend, and notification will be given to all members regarding the meetings. No proxy voting is allowed at either Board Meetings or General Meetings.

A. Roberts Rules of Order is the final authority if there are any conflicts not addressed in the Bylaws.

B. The Office of Parliamentarian Sergeant Arms shall be created to act as an honest broker if any questions arise and will be appointed by the President with the consent of the Board.

Section 2-The fall General Meeting of the Year will serve as the organizational meeting of the year which will include election of officers.

A. At the fall organizational election meeting a nominating committee appointed by the President and confirmed by the Board of Directors will report to the membership on who has been nominated to be elected officers along with a suggested list of appointed officers to the newly elected President and the Board of Directors.

B. The nominating committee will be composed of an elections chair that will run the organizing/election meeting and the nominating chair will assist the elections chair and also will supervise the nominating committee.

VII. Endorsements.

Section 1-The Collin County Republican Assembly will endorse and recruit candidates and referendum within Collin County.

A. The Collin County Republican Assembly will also endorse and be involved in any local referendum and candidates that are brought to the group.

B. Any Issues, candidates or referendum that is brought to the group’s attention for endorsement must be sent to the Fact-Finding Committee twelve days prior. It must be approved by a two-thirds vote of the membership and a secret ballot will be used.

C. The Chair of the Fact-Finding Committee and the Fact-Finding Committee will conduct the Endorsement Meeting and tabulate and announce the results to both the Membership, Candidates, and the Public.

D. Being that the Collin County Republican Assembly is part of the Texas Republican Party Assembly once a Candidate receives the party nomination, they are considered endorsed.

E. If the endorsed candidate does not make a run-off, the Executive Board along with the advice

from the Fact-Finding Committee may either decide by a two-thirds vote to endorse the candidate

who enters the run-off or not, only if the boundaries are totally within Collin County.

F. Once an endorsement is considered, it must be discussed twelve days in advance by the Fact- Finding Sub-Committee appointed by the President and confirmed by the Board of Directors. The Fact-Finding Committee will be composed of existing Board of Directors Members and will confidentially relay their recommendations to the Membership.

G.If a Board Member feels that there are procedural violations twenty-four hours after an endorsement is done the Board of Directors may rescind an endorsement or make a new endorsement by a two-thirds vote.

H. Only those who have been members for over thirty days may vote on endorsements or serve on the Fact-Finding Committee.

VIII.- Amendments.

Section 1- Any proposed additional amendments or changes to the Bylaws must be submitted for a first reading at then approved by two-thirds of the Board and then given a reading at the next regular meeting and finally approved at the regular club meeting, and after that by a two-thirds vote.

Section 2- Once the Bylaws Amendment or Bylaws are approved, they will be enacted immediately.
